  1. ACCEPTANCE OF TERMS

These Terms and Conditions (“Terms”) govern access to and use of the website underbase.ca, including all subdomains and services (the “Website”), operated by Direction Vert Inc. (DBA: Underbase) (“Company”, “we”, “us”, “our”).

By accessing or using the Website, creating an account, or placing an order, you agree to be legally bound by these Terms. If you do not agree, you must not use the Website.

  1. ELIGIBILITY

You must have legal capacity to enter a binding contract under applicable law. If you are a minor, a parent or legal guardian must consent and assume responsibility for your use.

  1. ACCOUNT RESPONSIBILITY

Users are responsible for maintaining account confidentiality. All activity under your account is deemed authorized by you. We may suspend or terminate accounts suspected of misuse without notice.

  1. CUSTOM PRODUCTS & USER CONTENT

4.1 User Responsibility
You are solely responsible for all content, artwork, text, images, or designs submitted. You warrant that such materials:

• Do not infringe intellectual property rights
• Do not violate privacy or publicity rights
• Do not contain unlawful or offensive material

You indemnify the Company against all claims arising from submitted content.

4.2 Refusal Rights
We reserve the absolute right to refuse, cancel, or modify any order or design that violates law, policy, or production limitations.

  1. ORDERS & CUSTOM MANUFACTURING

5.1 Production-on-Demand
Most products are custom manufactured. Once production begins, orders cannot be canceled.

5.2 Pricing Errors
We reserve the right to correct pricing or listing errors and cancel affected orders.

5.3 Proof Approval
Approval of digital proofs constitutes final authorization. The Company is not responsible for user-approved errors.

  1. PAYMENT

Payment is due at order placement. Orders may be suspended or canceled for failed authorization. Chargebacks made in bad faith may result in account termination and legal action.

  1. SHIPPING & DELIVERY

Delivery timelines are estimates only. Delays caused by carriers, suppliers, or force majeure are not grounds for cancellation or liability.

Risk transfers to the customer upon shipment.

  1. RETURNS & REFUNDS

Due to the custom nature of products, all sales are final unless:

• The item is defective
• Production error occurred

Claims must be submitted within 7 days of receipt with documentation.

We reserve sole discretion in determining remedies.

  1. INTELLECTUAL PROPERTY

All Website content, tools, and software remain Company property.

Users retain ownership of their designs but grant the Company a perpetual, worldwide, royalty-free license to process, reproduce, and display submitted content for order fulfillment, portfolio display, or operational purposes.

  1. PROHIBITED USE

Users may not:

• Upload unlawful or infringing content
• Attempt system interference
• Use automated scraping tools
• Misrepresent identity
• Disrupt Website operations

Violation may result in termination and legal action.

  1. SERVICE AVAILABILITY

The Website is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation.

  1. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

The Company shall not be liable for indirect, incidental, consequential, or economic damages arising from Website use or product purchase.

Total liability shall not exceed the amount paid for the affected order.

Nothing excludes liability that cannot legally be excluded.

  1. INDEMNIFICATION

You agree to indemnify and defend the Company from claims arising from:

• User content
• Misuse of the Website
• Violation of these Terms
• Third-party rights infringement

  1. FORCE MAJEURE

We are not liable for delays or failure caused by events beyond our reasonable control including supply disruptions, carrier delays, cyber incidents, or natural disasters.

  1. TERMINATION

We may suspend or terminate access at any time for violation of these Terms or operational reasons.

  1. PRIVACY

Personal information is handled according to our Privacy Policy.

  1. GOVERNING LAW

These Terms are governed by the laws of Québec and applicable Canadian law.

Any dispute shall be subject to the exclusive jurisdiction of Québec courts.

  1. MODIFICATIONS

We may update these Terms at any time. Continued Website use constitutes acceptance.

  1. SEVERABILITY

If any provision is invalid, remaining provisions remain enforceable.
